The form most founders choose. Shareholders' liability is limited to the capital they subscribe, a minimum of two shareholders is required, and a management body must be appointed.
Wholly owned by a single shareholder. Suited to founders going it alone, and more straightforward to incorporate.
Capital is divided into shares. Suited to raising capital or to larger operations, and requires more incorporation documents.
The basic steps: ① settle the company name and form → ② execute the articles of association (usually before a notary) → ③ complete commercial registration at the Commercial and Movable Property Registry → ④ complete tax registration (M/1) with the Financial Services Bureau → ⑤ open the company bank account. Once incorporated, you must maintain the commercial registration each year, file the Complementary Tax return according to your group, and submit Professional Tax lists if you have employees.
In Macau, the time sink is rarely the business itself — it is the procedure. Commercial registration within 15 days of incorporation. Complementary Tax filed January to March or April to June depending on your group. Professional Tax lists in January and February if you employ anyone. New hires registered within 15 days. Licences that depend on premises conditions. Foreign worker applications that live or die on the quality of the justification.
